Use of Funds

Pathstones Capital is currently seeking to raise between $100,000 and $2,000,000 to scale its raw land acquisition and resale operations. These funds will be used to strategically accelerate our ability to purchase and resell undervalued parcels of land in targeted, high-growth markets, with a focus on generating strong returns through resale and owner-financing strategies.

If the minimum raise of $100,000 is achieved, 100% of the proceeds will be allocated directly to land acquisition. This will allow us to move quickly on attractive opportunities, acquiring properties that can be repositioned and sold for a profit or used in owner-financed deals to produce consistent income.

If the maximum raise of $2,000,000 is secured, funds will be diversified across key operational areas to support both acquisition and infrastructure. Approximately 75% ($1,500,000) will go toward land acquisition. The remaining 25% will be used to cover essential operating and growth expenses, including property taxes (2%), insurance (1%), legal and professional fees (3%), accounting and bookkeeping (1%), payroll and staffing (6%), marketing (5%), and general operating costs (2%). We will also allocate 4% for a contingency reserve and 3% for other soft costs. This broader distribution ensures we can scale responsibly while maintaining flexibility and sustainability throughout the investment cycle.

  • Land Acquisition ($1.5M): The majority of funds will go directly toward purchasing raw, undervalued land parcels—our core investment strategy.

  • Operational Support: Legal, accounting, insurance, and staffing costs ensure the continued integrity, compliance, and efficiency of our acquisitions and investor reporting.

  • Marketing & Sales: We’ll deploy targeted campaigns to promote available properties and maintain strong sales velocity.

  • Contingency & Soft Costs: A reserve is included to cover unforeseen expenses, along with soft costs like organizational fees, permitting, and environmental assessments.

RealRise Capital will charge Issuers who complete their capital raise a range of compensation types (e.g., flat fee, platform fee, and/or equity fee in the form of commission). The flat and platform fee will be paid when the successfully funded campaign ends. Any securities paid to RealRise Capital, if any, will be of the same class and have the same terms, conditions, and rights as the securities being offered and sold by the Issuer on our platform. All fees paid to Secure Living in connection with the offering and sale of securities are nonrefundable unless in its sole discretion determines that a refund is appropriate.
