These Terms of Service (the “Terms”) govern your access to and use of websites and services (the “Services”) provided by RealRise Capital, LLC (“RealRise Capital,” “we,” “us,” or “our”) and linked to these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICES. THESE TERMS PROVIDE THAT, EXCEPT AS DESCRIBED BELOW, ALL DISPUTES BETWEEN YOU AND REALRISE CAPITAL WILL BE RESOLVED BY BINDING ARBITRATION. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT AND AGREE THAT DISPUTES WILL BE RESOLVED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE.

Use of Services

These Terms, which incorporate our Privacy Policy, constitute a legally binding agreement between RealRise Capital and you. By using the RealRise Capital portal and services available through realrisecapital.net (the “Site”), you agree to be bound by these Terms.

You may only use the Services in compliance with these Terms. The Services are not intended for use by individuals under 18 years of age.

Additional Terms

Any information you provide is subject to our Privacy Policy, which is incorporated into these Terms. Certain Services require acceptance of additional terms and conditions (“Additional Terms”), including:

• Investor Agreement (for users investing in offerings) Sponsor-related terms for issuers
• These Terms, the Privacy Policy, and any Additional Terms collectively form the “User Agreement.”

Organizations

If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization. In such cases, “you” refers to both the individual and the organization.

Services Ownership

The Services and all associated content, including intellectual property rights, are owned by or licensed to RealRise Capital.

License

RealRise Capital grants you a limited, revocable license to use the Services solely in accordance with these Terms. No ownership rights are transferred.

Account Information

You agree to provide accurate and complete account information and update it as needed. We may suspend or terminate accounts if information is inaccurate or misleading. You are responsible for maintaining confidentiality of your credentials and all activity under your account.

Other Users

We may use reasonable measures to verify users but do not guarantee identity verification. You assume all risks associated with interacting with other users.

No Advice

RealRise Capital does not provide legal, tax, investment, accounting, or other professional advice. No advisory or fiduciary relationship is created.

Prohibited Content

You agree not to transmit unlawful, infringing, misleading, or harmful content through the Services. You may not make false or misleading statements in connection with securities transactions.

Copyright Violation

If you believe your copyright has been infringed, please provide notice under 17 U.S.C. § 512 including all required information. It is RealRise Capital’s policy to terminate repeat infringers. DMCA notices should be sent to: info@realrisecapital.net

User Content

You retain ownership of your content but grant RealRise Capital a broad license to use, reproduce, modify, distribute, and display such content as necessary to operate the Services. You are solely responsible for your content and any consequences arising from it.

Feedback

Any feedback provided becomes the property of RealRise Capital and may be used without restriction or compensation.

Third-Party Websites

We are not responsible for third-party websites or their content. Access is at your own risk.

No Representations or Warranties

The Services are provided “as is” and “as available” without warranties of any kind.

Disclaimer

RealRise Capital is not a broker or dealer and does not provide investment advice or endorse offerings or issuers.

Limitation of Liability

RealRise Capital is not liable for indirect, incidental, or consequential damages arising from use of the Services.

Indemnification

You agree to indemnify and hold harmless RealRise Capital from claims arising from your use of the Services or violation of these Terms.

Modification

We may update these Terms at any time. Continued use of the Services constitutes acceptance of updates.

Arbitration

Disputes will be resolved through binding arbitration as described in the full arbitration agreement incorporated herein.

Class Action Waiver

You waive the right to participate in class actions to the fullest extent permitted by law.

Jury Trial Waiver

You waive the right to a jury trial to the fullest extent permitted by law.

Termination

We may suspend or terminate access to the Services at any time, with or without notice.

No Third-Party Beneficiaries

These Terms do not create third-party beneficiary rights.

Entire Agreement

These Terms constitute the full agreement between you and RealRise Capital.

Electronic Signature

Electronic consent is legally binding and equivalent to a handwritten signature.

Assignment

We may assign rights under these Terms. You may not assign your rights without consent.

Waiver

Failure to enforce any provision does not constitute a waiver.
